1.1. "Account" refers collectively to any registered access credentials provided to a person to use the Platform, including User Accounts, Manager Accounts, and Admin Accounts.

1.2. "Admin Account" refers to a registered account holder on the Platform assigned administrative privileges to exercise full company-wide access, including all organizational data and features.

1.3. "AI Outputs" refers to any summaries, tasks, recommendations, analyses, or other content generated by the Platform's artificial intelligence tools based on User Content.

1.4. "Content" refers to any data, text, audio recordings, video clips, documents, information, or other materials that you submit, upload, or post to the Platform.

1.5. "Manager Account", "Note Taker", "Platform", "Privacy Policy", "Third-Party Account", "User", "User Account", and "User Login Credentials" shall have the same meaning assigned in these Terms.

2.1. By accessing or using Platform you agree to these Terms. This is a legally binding agreement between you and the Company.

2.2. Additional Platform rules and the Privacy Policy are incorporated by reference into these Terms.

2.3. The Company may update these Terms from time to time. Continued use after updates means acceptance of revised Terms.

3.1. Use of the Platform is available only to individuals who are at least 18 years of age (or age of majority in their jurisdiction) and legally capable of entering binding contracts.

3.2. Individuals under 18 may not register for an Account or use the Platform directly unless access is facilitated by a parent or legal guardian.

3.3. The Company may suspend or terminate access if eligibility requirements are not met or these Terms are violated.

4.1. Registration is required for full Platform functionality and role-based access across User, Manager, and Admin account types.

4.2. You may register through Google/Microsoft SSO, direct email/password login, or other methods enabled by the Company.

4.3. You must not impersonate others, create accounts without permission, or create multiple unauthorized user accounts.

5.1. You are responsible for maintaining confidentiality and security of your account and login credentials.

5.2. You must notify the Company immediately of any unauthorized account usage or credential compromise.

5.3. You are solely responsible for all activity under your account and for compliance with applicable law.

6.1. You may link third-party accounts and authorize access as permitted by those services.

6.2. The Platform may access and display relevant content solely to provide intended features and insights.

6.3. Your relationship with third-party providers is governed by your agreements with those providers.

7.1. All Platform content and associated intellectual property are owned by the Company and its affiliates.

7.2. You must not extract, reproduce, distribute, or create derivative services using Platform content without prior written consent.

7.3. Any suspected infringement should be reported to support@zime.ai.

8.1. Company grants a limited, non-exclusive, non-transferable license to use the Platform in compliance with these Terms.

8.2. Unauthorized copying, modification, distribution, resale, or exploitation may result in immediate termination of access.

8.3. The Company may revoke or restrict access in the event of misuse or breach.

9.1. You shall not scrape, bypass restrictions, interfere with other users, spread malware, spam, or violate third-party rights.

9.2. You shall not post unlawful, harmful, obscene, discriminatory, or otherwise prohibited content.

9.3. You shall use the Platform only for lawful and authorized purposes and maintain your own data backups.

10.1. Users may submit content for transcription, collaboration, analysis, and task management features.

10.2. By submitting content, users grant the Company rights required to operate, improve, and provide the Platform.

10.3. AI outputs are automated and may not always be accurate; users must independently verify before relying on them.

11.1. By accepting these Terms, you consent to service and promotional communications via registered contact channels.

11.2. The Company may send alerts, OTPs, notifications, and service messages by email or in-app channels.

11.3. Delivery delays or failures due to external systems or incorrect contact details are outside Company liability.

12.1. You may terminate your account through platform settings, subject to permanent data deletion implications.

12.2. The Company may suspend, restrict, or terminate access with or without cause, including Terms violations.

13.1. THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

13.2. THE COMPANY DISCLAIMS LIABILITY FOR ACCURACY, RELIABILITY, THIRD-PARTY ACTS, OR INTERRUPTION OF SERVICE.

13.3. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

14.1. Users must obtain required participant consent before enabling recording and note-taking features.

14.2. AI-generated summaries, recommendations, and analyses are informational and require independent validation by users.

14.3. The Company disclaims liability for decisions or outcomes based on AI-generated outputs.

15.1. The Platform may include third-party links and content not controlled, investigated, or endorsed by the Company.

15.2. Use of third-party websites and services is at your own risk and subject to third-party terms and policies.

15.3. The Company is not responsible for losses arising from third-party content, purchases, or interactions.

16.1. Use of the Platform is subject to the Privacy Policy and related data processing terms.

16.2. If you access the Platform outside the USA, you acknowledge transfer and processing of data in the USA.

17.1. The Company may audit and monitor service usage for compliance, safety, and service improvements.

17.2. Accounts or content may be suspended, edited, or removed where deemed illegal, abusive, or policy-violating.

17.3. Information may be disclosed where required by law or reasonably necessary to protect rights and safety.

18.1. The Company and affiliates are not liable for indirect, incidental, special, punitive, or consequential damages.

18.2. This includes loss of profits, data, business opportunities, or interruption related to Platform use.

19.1. You agree to indemnify and hold the Company and its affiliates harmless from claims arising from your use, shared content, or Terms violations.

20.1. You may not assign or transfer your interests without prior written consent. The Company may assign rights as permitted by law.

21.1. These Terms are governed by and construed in accordance with the laws of the State of California.

22.1. The Company will use commercially reasonable efforts to investigate and address valid issues within 48-72 hours.

22.2. Availability target is up to 97% monthly uptime, excluding maintenance and events outside Company control.

22.3. All commitments are commercially reasonable effort obligations and not guarantees of uninterrupted service.

23.1. The Company is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, outages, epidemics, or cyber incidents.

24.1. The Platform may contain typographical errors, inaccuracies, or omissions. The Company may correct or update information at any time without prior notice.

25.1. Disclaimer, limitation of liability, and governing law provisions survive termination of these Terms.
